Scope of Services
TexasBrains specializes in web development, design, branding, and related digital services. The
exact scope of each project will be defined in a signed agreement or proposal.
Payment Terms
- Deposits: A non-refundable deposit is required to commence any project. The deposit ensures commitment from both parties and covers initial work setup.
- Milestone Payments: Projects may be divided into milestones. Payments are due upon
completion of each milestone as outlined in the project agreement. - Final Payment: The remaining balance must be paid upon project completion, prior to handover of final deliverables.
Refund Policy
- Change of Mind: We do not provide refunds if you change your mind after agreeing to the project or scope of work.
- Work Already Completed: If a project is terminated after work has begun, we reserve
the right to retain payments made to cover the work completed up to that point. No refunds will be issued for work already performed. - Project Delays or Termination: In the event of delays or termination caused by you (the client), TexasBrains reserves the right to retain payments made or charge for additional
costs incurred.
Project Revisions
- Revision Requests: We provide up to 10 rounds of revisions as specified in the proposal. Additional revisions may incur extra charges.
- Out-of-Scope Revisions: Requests outside the agreed-upon scope of work will require a new proposal and additional fees.
Project Timelines
- Adherence to Timelines: Both parties agree to adhere to project timelines. Delays caused by the client, such as late feedback or incomplete deliverables, may result in project delays or additional fees.
- Force Majeure: TexasBrains is not liable for delays caused by factors beyond our control, including but not limited to natural disasters, technical issues, or government actions.
Client Responsibilities
- Content and Materials: You are responsible for providing all required content, images, and materials in a timely manner to facilitate the project.
- Approvals: Timely approvals and feedback are essential to maintaining project timelines. Delays in approvals may result in timeline adjustments or additional costs.
Intellectual Property
- Ownership: Upon full payment, the final deliverables become your property. However, TexasBrains retains the right to use the project in portfolios or for promotional purposes.
- Source Files: Source files (e.g., raw design files, code) are provided only if specified in the project agreement. Additional fees may apply for these files.
Termination of Services
- Client-Initiated Termination: If you choose to terminate the project for valid reasons, you are responsible for payment of work completed up to the termination date.
- Agency-Initiated Termination: We reserve the right to terminate the project due to non-payment, lack of communication, or breach of terms. Payments made will not be refunded.
Limitation of Liability
- TexasBrains will not be held liable for indirect, incidental, or consequential damages resulting from your use of our services.
- It is your responsibility to review deliverables for accuracy and functionality prior to launch.
Amendments to Terms
TexasBrains reserves the right to update or modify these terms at any time. Changes will be communicated through our website, and your continued use of our services signifies acceptance of the updated terms.
Governing Law
These terms are governed by the laws of the State of Texas, United States. Any disputes arising
from these terms will be resolved exclusively in the courts of Texas.
